Terms of Service

1. Acceptance
By accessing or using TracePrep (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. TracePrep is operated by TracePrep Inc.
2. Account and access
You are responsible for safeguarding any credentials you use to access the Service and for activity performed under those credentials. You agree to provide accurate information when connecting the Service to your QuickBooks Online company file.
3. Acceptable use
- Use the Service only for lawful, professional accounting and tax-preparation purposes.
- Do not attempt to disrupt the Service, reverse engineer it, or circumvent its security controls.
- Do not authorize the Service to access company files you are not entitled to access.
4. QuickBooks Online integration
The Service connects to QuickBooks Online using the Intuit OAuth 2.0 flow with the com.intuit.quickbooks.accounting scope. You may revoke access at any time from inside QuickBooks Online. See Disconnect QuickBooks.
5. Service disclaimers
The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. TracePrep does not warrant that the Service will be uninterrupted, error-free, or fit for any particular purpose. Tax-preparation results produced by the Service are intended for review by a qualified tax professional before filing.
6. Limitation of liability
To the maximum extent permitted by applicable law, TracePrep Inc. will not be liable for indirect, incidental, consequential, or special damages arising out of or relating to your use of the Service. Additional liability caps, carve-outs, or customer- specific terms may be set out in a written engagement letter, order form, or other agreement signed by TracePrep Inc.
7. Intellectual property
TracePrep Inc. retains all right, title, and interest in the Service, including its software, designs, branding, and documentation. Your data remains your data; nothing in these Terms transfers ownership of customer data to TracePrep.
8. Termination
You may stop using the Service at any time and may revoke the QuickBooks Online connection at any time. We may suspend or terminate access for material breach of these Terms or for security, legal, or operational reasons.
9. Tax-data and Section 7216 notice
Tax return information handled through TracePrep may be subject to Internal Revenue Code Section 7216 and professional confidentiality rules depending on the engagement and firm using the Service. See the Privacy Policy for additional detail.
10. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where applicable consumer-protection law of your residence requires otherwise.
11. Dispute resolution
The parties will work in good faith to resolve disputes informally before resorting to formal proceedings. Unless a written agreement with TracePrep Inc. states otherwise, disputes will be handled under the governing law stated above.
12. Modifications
We may update these Terms as the Service evolves. Material changes will be reflected by an updated "Last updated" date at the top of this page. Continued use of the Service after an update constitutes acceptance of the revised Terms.
